Ursuline High School Alumni Association Constitution

Adopted: 10/27/2005

Article - I Name

The organization shall be known as the Ursuline High School Alumni Association.

Article II - Purpose of the Association

The purposes of the Ursuline High School Alumni Association shall be to promote and support the programs and activities of Ursuline High School: to foster a spirit of loyalty and camaraderie among graduates and former students of Ursuline High School; to encourage alumni to maintain a continuing relationship with the school and to better utilize the potential for alumni service to the school through constructive endeavors; and to develop social and educational programs to meet the needs of alumni.

Article III - Membership

The Ursuline High School Alumni Association shall consist of both active and honorary members. All graduates of Ursuline High School are active members by right in this association. Honorary members shall consist of those friends and benefactors of Ursuline High School whose services and support the Alumni Association may recognize. Honorary members shall be inducted upon the recommendation of a majority vote of the association’s Executive Board.

Article IV- Governance and Management

The governance and management of this Association shall be exercised by the Administration of Ursuline High School and the Alumni Association Executive Board with the cooperation of the Director of Alumni and Advancement. The Association shall function within the general policies of the Diocese of Youngstown and the Office of Catholic Schools.

Article V - Funding

There shall be no annual dues collected from the membership. Financial support for the routine operation of the Alumni Association and the Executive Board shall be provided by monies raised through alumni events created for that purpose by the board and through voluntary donations. All monies raised shall be placed in an account set up for that purpose at a local bank. All checks written on the Alumni Association account must be co-signed by the Treasurer and the Principal.

Article VI - The Executive Board

The Executive Board shall consist of a maximum of eighteen (18) members appointed by the Principal of Ursuline High School after consultation with the Director of Alumni and Advancement and the Superintendent of Schools. Membership on the Executive Board shall be for a renewable term of three years. During the initial year that the Alumni Association and the Executive Board are established, one third of the members of the board will be appointed for one year only, one third will be appointed for two years, and one third of the seats on the board shall be open for appointment. The Principal, Assistant Principals, and Director of Alumni and Advancement will be ex officio members of the board.

Article VII - Officers

The officers of the Executive Board shall consist of a President, Vice-President, Secretary, and Treasurer. Officers shall serve a one year term which is renewable twice.

Article VIII - Meetings

The Executive Board of the Ursuline High School Alumni Association shall meet a minimum of four times each year. Meetings shall be scheduled in September, December, March and June on a day and time set by board members. Additional meetings of the Executive Board may be scheduled as necessary by the President and Principal. One annual meeting for the general membership shall be scheduled by the Executive Board.

During the initial year that the Alumni Association and Executive Board are established, the board will meet monthly from September through December. An Orientation meeting for board members will be held in September, formation of committees, including a nominating committee will be formed at the October meeting, the slate of nominations for officers will be presented at the November meeting, and election of officers will be held at the December meeting. Quarterly meetings will be scheduled for March and June.

Article IX - Class Captains

Each graduating class shall be represented by one or more Class Captains who will be available twice a year, one in May and again in November for a general meeting with the Executive Board of the Alumni Association and the administration of Ursuline High School. The Class Captains will pro-actively encourage classmates to attend alumni events; act as a liaison with members of their class who are planning reunions; provide the Executive Board and the interests of their classmates; and solicit volunteers from their class for the annual phone-a-thon and membership on alumni standing and ad hoc alumni committees.

Article XI - Amendments to the Constitution and By-Laws

This Constitution and/or any part thereof may be repealed, altered, revised, or otherwise amended by a two thirds vote of the Executive Board and the approval of the Principal. A copy of the suggested revisions, proposed repeal, or other alterations must be provided to the Secretary of the Executive Board 10 days prior to the meeting at which discussion of the proposal will be introduced.

Ursuline High School Alumni Association By-Laws

Article I - Membership on the Executive Board

The Principal of Ursuline High School shall appoint all members to the Executive Board. Nominations for membership may be made to the Principal by members of the Board for consideration. Appointments for open seats on the Executive Board will be announced at the annual June Meeting. Vacancies due to resignation will be filed as they occur.

Article II - Election of Officers

  1. The President of the Executive Board shall appoint a nominating committee at the annual December meeting of the Board. The Principal and Director of Alumni and Advancement will serve as ex officio members of the nominating committee. Nominations for election may be made by any member of the Board and will be accepted from December through March. All nominees must grant consent before their names are placed on the ballot. The nominating committee will develop a slate of candidates to be presented to the Board at the regularly scheduled June meeting.
  2. The executive Board shall elect officers from the slate presented by the nominating committee at the annual June meeting. Officers will assume their duties as of the date of their election and shall serve for a one year term. Officers will be limited to no more than three consecutive terms in any one office.
  3. Should any office become vacant due to resigning or removal, the position may be filled by the Executive Board at the next regularly scheduled meeting.

Article III - Duties of the Officers

  1. The President shall preside at all meetings of the Executive Board, may call special meetings as necessary with the approval of the Principal, and shall serve as an ex officio member of all standing committees. The President will ensure that all committee chairs prepare and present to the Board written minutes of all committee meetings and written reports of all events sponsored by each committee. The President of the Executive Board shall be the official representative of the Alumni Association.
  2. The Vice President shall assume the role of the President in the latter’s absence. The Vice President shall also serve as the Chair of the Ursuline Alumni Annual Appeal Committee. The Vice President shall assist the president as necessary in the discharge of his/her duties.
  3. The Secretary shall provide notice of pending meetings to all board members, shall prepare the agenda with input from the President, Vice President, and Principal, shall keep minutes of the meetings, and shall provide members with a copy of the minutes by mail within two weeks following each scheduled meeting. The Secretary shall maintain and regularly update the directory of Executive Board members and Class Captains with home and work addresses, telephone numbers, and e-mail addresses. The Secretary shall correspond as directed as directed by the board with members of the Alumni Association, local businesses, and other organizations as necessary and appropriate.
  4. The Treasurer shall have custody of all monies and funds received by the Alumni Association, shall collect and disburse all funds subject to the control of the Executive Board, and shall provide the Executive Board with a written accounting of all income, expenses, and current balance at each meeting. All disbursements of more than $100 must be approved by a majority vote of the Executive Board. The President, with the approval of the Principal, may approve disbursements of less than $200 for incidental expenses. At the June meeting of the Executive Board, the Treasurer shall present a complete financial report for the year.

Article IV - Duties of the Executive Board

The Executive Board shall have the following responsibilities:

  1. Initiate Alumni Association activities;
  2. Establish, appoint members to, and chair all standing and ad hoc committees;
  3. Promote the curricular, extra-curricular; and fund raising programs of Ursuline High School;
  4. Foster communication with alumni regarding the activities and programs of both Ursuline High School and the Alumni Association;
  5. Serve as a vehicle and on-going dialogue between the alumni and officials of Ursuline High School;
  6. Develop programs to enable current Ursuline High School students to establish relationships with alumni, develop a visible alumni presence within the school, and pass on the Ursuline legacy and traditions.

Article V - Committees

  1. The following Standing Committees shall be established and shall be chaired by either a member of the Executive Board or a member of the administrative staff at Ursuline High School. Each member of the Executive Board shall be rather a chairperson or a member of at least one standing committee. Additional members of the standing committees shall be solicited from the roster of Class Captains or the general alumni membership.
  2. The Annual Appeal Committee shall be chaired by the Vice President of the Executive Board and shall assist the Director of Alumni and Advancement in organizing and implementing the Annual Appeal Campaign, special fund raising projects, and other alumni giving programs.
  3. The Student Recruitment and Marketing Committee shall assist the Ursuline High School administration in enhancing the public relations efforts of the school, create programs and develop print materials to best communicate the benefits of an Ursuline education to the public, and identify, cultivate and recruit students for enrollment at Ursuline High School.
  4. The Alumni Quarterly Committee shall work with the Director of Alumni and Advancement to plan and produce the alumni magazine.
  5. The Alumni Events Committee shall plan social events and educational programs to promote friendship and camaraderie among alumni.
  6. The Alumni Mentorship Committee shall develop programs whereby alumni will have opportunities to develop relationships with current Ursuline High School students in a variety of ways to enrich their educational experience and prepare the students for both civic and alumni involvement after graduation. The Mentorship Committee shall also assist the administration of Ursuline High School in the solicitation of funds for the Adopt-A-Student Program whereby alumni sponsor a student through partial or full tuition assistance.
  7. The Alumni Recognition Committee shall annually identify two alumni (one male and one female) to be honored as recipients of the Distinguished Alumni Award; shall nominate friends and benefactors of Ursuline High School for consideration as Honorary members of the Alumni Association; and shall work with the Director of Alumni and Advancement to develop ways that the school can show appreciation to alumni for their on-going support of the school.
  8. Ad hoc Committee shall be established as needed by the Executive Board to work on a specific task or project and will be dissolved once the task/project has been completed.

Article VI - Removal of Members from the Board

  1. The failure of an Executive Board member to attend a majority of the scheduled meetings, without prior excuse for a legitimate reason from the President of the Board, shall result in the termination of that Board member’s term of office without further action by the Board and the vacancy created shall be filled by the Principal.
  2. Members of the Executive Board may be removed for unacceptable public conduct.

Article VII - Rules of Order

  1. A quorum shall consist of a simple majority for both the Executive Board and for any standing or ad hoc committee.
  2. The ordinary order of business at each meeting of the Executive Board shall be:

  3. The rules contained in Robert’s Rules of Order (Revised Edition) shall govern this organization where and when applicable as long as they do not conflict with articles contained in this Constitution and By-Laws.
